Why professional licensing got to 100% foreign ownership first

Before 2021, most UAE mainland companies needed a UAE national shareholder holding at least 51%. Professional licences worked differently even then: a UK consultant or agency could already hold 100% of the company, engaging a Local Service Agent, a UAE national paid a fixed fee to handle certain government-facing steps, rather than a shareholding partner.

The 2021 Commercial Companies Law reform extended full foreign ownership to most other mainland activities too, on an activity-by-activity basis set by each emirate. That narrowed the gap between commercial and professional mainland structures on ownership specifically, but the professional route still tends to be the simpler one, since the Local Service Agent model was already built for it.
