A UAE entity is powerful — when structured correctly.
Too many consultants push offshore setups for the sake of it. We don't. We advise on when an offshore structure serves a strategic purpose, and when it creates unnecessary complexity.
Our focus is on Strategic Authority. We ensure your Dubai entity isn't just a shell, but a functional, compliant, and value-adding part of your international group structure.
“Integrity is our primary currency. We'll tell you if a UAE move isn't right for your specific UK tax position.”

Who company incorporation planning is for
UK Ltd company directors
If your existing UK company structure is starting to hold back a genuinely international business, the question isn't whether to expand the structure — it's whether to do it in the UK, the UAE, or both.
E-commerce & tech founders
Digital businesses with no fixed customer geography are the clearest candidates for a UAE free zone entity — but only once the UK tax residency implications are properly mapped out first.
Property portfolio investors
Investors expanding a portfolio internationally need a UK holding structure that plays properly with an offshore entity — get the order of formation wrong and it's expensive to unwind.
Contractors & professional service directors
Contractors serving international clients often assume a UAE entity is automatically the answer. Sometimes it is — sometimes a cleaner UK structure achieves the same result with far less admin.
UK Ltd vs UAE free zone: the real decision factors
The question we get asked most often isn't "should I set up in the UAE?" — it's "should I set up in the UAE instead of, or alongside, my UK company?" The honest answer depends on three factors, in this order.
First: where is the work actually done, and by whom. A UAE entity that exists purely on paper while all directing and decision-making genuinely happens in the UK doesn't achieve much beyond admin — HMRC looks at substance, not just incorporation paperwork.
Second: your own personal tax residency position, not just the company's. Moving company activity offshore without also considering your own Statutory Residence Test position is one of the most common mistakes we see corrected after the fact, at real cost.
Third: what the UAE entity is actually for. A holding company for international IP, a genuine operating base for a relocated founder, and a banking/invoicing convenience each point toward different structures — "a UAE company" isn't a single product, and the free zone, licence type, and visa strategy all follow from that answer.
UK incorporation itself is filed with Companies House, not HMRC — see Companies House to search the register or check filing requirements directly.
If you want the full breakdown of freezone options and setup costs, see our UAE freezone setup guide. If you'd rather talk through your specific situation first, get in touch and we'll tell you plainly whether a UAE structure earns its complexity for you.
